1.1 Agreement ｜ 协议范围

These Terms of Service ("Terms") govern your access to and use of VigilDesk, a desktop risk-control workstation for MetaTrader 5, including its website (this site), software downloads, subscriptions and related support. By downloading, installing, activating or using VigilDesk, you agree to these Terms. If you do not agree, do not use the software. ｜ 本条款约束 VigilDesk 桌面软件及相关网站的访问与使用；下载、安装、激活或 使用即表示同意本条款。

1.2 The service ｜ 服务内容

VigilDesk is a software tool that runs on your own Windows machine and connects to your own MetaTrader 5 terminal. It provides process guarding, per-trade loss caps, daily drawdown guards, decision logging and an optional AI confirmer that reviews orders produced by your own strategies. VigilDesk does not generate trading signals, does not execute trades on its own initiative, and is not a broker, asset manager or investment adviser. ｜ VigilDesk 是运行于用户本机、对接用户自有 MT5 终端的风控工具，不生成信号、不主动下单，非券商/资管/投资顾问。

1.3 License ｜ 授权

Subject to payment and compliance with these Terms, you receive a non-exclusive, non-transferable, revocable license to install and use VigilDesk on the number of machines covered by your plan (see Pricing). The free Watchdog Lite edition is licensed for use without charge. You may not resell, sublicense, rent, redistribute, or reverse-engineer the software except where applicable law permits. ｜ 按所购套餐授权在对应数量机器上安装使用；免费版可免费使用； 除非法律允许，不得转售、再许可、出租、再分发或逆向工程。

1.4 Acceptable use ｜ 合理使用

• Use VigilDesk only with accounts and strategies you own or are authorized to operate. ｜ 仅将 VigilDesk 用于你自有或获授权的账户与策略。
• Do not use VigilDesk to violate the terms of your broker, exchange, prop firm, or applicable law and regulation. ｜ 不得利用本软件违反券商、 交易所、机构条款或适用法律法规。
• Do not attempt to circumvent license checks, tamper with the software, or use it for unlawful purposes. ｜ 不得规避授权校验、 篡改软件或用于非法目的。

1.5 Risk disclosure & no advice ｜ 风险披露与无投资建议

VigilDesk is a risk-control safety layer over your own trading strategy. It is not investment advice and does not promise any profit or returns. Trading foreign exchange and CFDs on margin carries a high level of risk and may not be suitable for all investors; you could lose more than your deposit. Past performance of any strategy does not guarantee future results. You are solely responsible for your trading decisions and for configuring your own risk limits. ｜ VigilDesk 不构成投资建议、不承诺收益；杠杆交易风险极高，可能损失超过本金； 交易决策与风控参数配置由用户自行负责。

1.6 Availability & support ｜ 可用性与支持

We aim to keep the software and its license/activation services available, but we do not guarantee uninterrupted operation. Support is provided through the channels listed on the FAQ page. ｜ 我们尽力保障软件与激活服务可用，但不承诺 不间断运行；支持渠道见 FAQ 页。

1.7 Payment processing ｜ 支付处理

Paid subscriptions and licenses are sold online. Our payment provider acts as merchant of record and processes payments, taxes and refunds under its own checkout terms. When you purchase, your payment information is collected and processed by the payment provider and is not stored by VigilDesk. ｜ 付费订阅由支付服务商作为记录商户（merchant of record）处理款项、税费与退款；支付信息由其收集处理，VigilDesk 不存储。

1.8 Termination & changes ｜ 终止与变更

You may stop using VigilDesk and cancel any subscription at any time (see the Refund Policy). We may suspend or terminate access for breach of these Terms. We may update these Terms from time to time; the effective date above will change, and material changes will be reflected on this page. ｜ 用户可随时停用并取消订阅； 违约方可被暂停/终止服务；条款更新时本页日期随之更新。

1.9 Disclaimer & limitation of liability ｜ 免责与责任限制

VigilDesk is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the software is limited to the amount you paid us in the twelve (12) months before the event giving rise to the claim. We are not liable for trading losses, missed trades, data loss, or indirect or consequential damages. ｜ 软件按"现状"提供； 在法律允许的最大范围内，累计赔偿责任以过去 12 个月实付金额为限； 对交易亏损、漏单、数据丢失或间接损失不承担责任。

1.10 Governing terms ｜ 其他

These Terms, together with the Privacy Policy and Refund Policy on this page, form the entire agreement between you and us regarding VigilDesk. If any provision is found unenforceable, the remainder stays in effect. ｜ 本页三部分构成完整协议；个别条款无效不影响其余条款效力。

2. Privacy Policy ｜ 隐私政策

2.1 Summary ｜ 摘要

Your trading data stays on your machine. VigilDesk is designed so that your configuration, logs, decision records and reports are stored locally under %LOCALAPPDATA%\VigilDesk, and the free Watchdog Lite edition has no telemetry at all. ｜ 交易数据保存在用户本机； 免费版完全无遥测（详见 Security & Compliance）。

2.2 Data we process ｜ 我们处理的数据

• Account data: when you purchase, the payment provider (as merchant of record) collects your name, email address, billing country and payment details to process the transaction and provide receipts. ｜ 购买时由支付服务商收集姓名、邮箱、账单国家与支付 信息，用于收款与收据。
• License data: activation/renewal contacts the license server over HTTPS (a 72-hour offline grace period applies). ｜ 激活/续期经 HTTPS 联系授权服务器（含 72 小时离线宽限）。
• Optional telemetry: in paid editions only, crash/diagnostic reporting is off by default and is sent only if you enable it in Settings → Diagnostics. ｜ 付费版遥测默认关闭， 手动开启后才上报。
• Trading data: orders, positions and account state are read locally from your MT5 terminal; they are not uploaded to us unless you explicitly point an integration (e.g. a webhook or AI endpoint) elsewhere. ｜ 交易数据仅本地读取，除非你自行将集成端点指向 其他地址。

2.3 Cookies ｜ Cookie

This website is static and does not set tracking or advertising cookies. The payment provider's checkout may set its own cookies under its own privacy policy. ｜ 本站为纯静态站，不设追踪/广告 Cookie；支付结账页可能 按其自身政策使用 Cookie。

2.4 Sharing ｜ 数据共享

We share personal data only with the payment provider (to process payments and refunds) and where required by law. We do not sell personal data. ｜ 仅与支付服务商共享（收款/退款所需）及法律要求时提供；不出售个人数据。

2.5 Retention & your rights ｜ 保存与你的权利

Purchase records are kept for as long as needed for billing, tax and fraud-prevention purposes. You may request access, correction, export or deletion of your personal data, and may cancel a subscription at any time, by contacting us through the support channels listed on the FAQ page. ｜ 账单/税务所需期限保存购买记录； 可通过 FAQ 支持渠道行使查询、更正、导出、删除及取消订阅等权利。

2.6 Security ｜ 安全

3. Refund Policy ｜ 退款政策

3.1 Free trial ｜ 免费试用

VigilDesk's free tier (Watchdog Lite) is free forever and needs no card. Starter and Pro include a 7-day full-feature trial: $0.00 during the trial, cancel any time, and a card is required when the trial starts. Lifetime is a one-time purchase with no trial. We encourage you to try before you buy. ｜ 免费版（Watchdog Lite）永久免费、无需绑卡；Starter/Pro 含 7 天全功能试用 （试用期内 $0.00、可随时取消、开通时需绑卡）；Lifetime 一次性买断、无试用。 建议先行试用。

3.2 14-day refund window ｜ 14 天退款

If a paid plan does not work as described on this website, you may request a full refund within 14 days of purchase. Refund requests are handled by our payment provider (merchant of record) and are returned via the original payment method. ｜ 若付费套餐与本站描述不符， 可在购买后 14 天内申请全额退款；退款由支付服务商按原路退回。

3.3 After 14 days ｜ 14 天后

After the 14-day window, subscriptions can still be cancelled at any time — the plan stays active until the end of the paid period and will not renew. Refunds after 14 days may be considered case by case for duplicated charges or technical defects we cannot fix. ｜ 14 天后可随时取消 订阅（当期结束后不再续费）；重复扣款或无法修复的技术缺陷可个案处理。

3.4 What is not refundable ｜ 不予退款情形

• Trading losses or dissatisfaction with your own trading results — VigilDesk is a risk-control tool, not a profit guarantee. ｜ 交易亏损或对自身交易结果不满（VigilDesk 是风控工具，非收益保证）。
• Refusal to meet documented system requirements (Windows 10/11 and a MetaTrader 5 terminal) that were stated before purchase. ｜ 拒绝满足购买前已明示的系统要求（Windows 10/11 与 MT5 终端）。
• Abuse of the refund process (repeated purchase-and-refund cycles). ｜ 滥用退款流程（反复购买-退款）。

3.5 How to request ｜ 申请方式

Request a refund or cancellation through the support channels listed on the FAQ page, including your order/receipt number from the payment provider. Requests are normally handled within 5 business days. ｜ 通过 FAQ 页支持渠道提交退款/取消申请，并附支付服务商 订单号；一般 5 个工作日内处理。
